Terms of Service

These Terms govern your access to and use of PropX. By creating an account or using the service, you agree to them. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.
1. Definitions
- Service — the PropX web application, APIs, webhooks and related features.
- Customer / you — the organisation that subscribes to the Service.
- Organisation — a tenant workspace; data is isolated per organisation.
- End User — a lead, contact or WhatsApp recipient whose data a Customer processes in the Service.
2. Accounts & eligibility
You must provide accurate registration details, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 and able to form a binding contract. You are responsible for the actions of every user you invite to your organisation.
3. Your responsibilities
- Use the Service lawfully and only for legitimate business purposes
- Obtain all consents and opt-ins required to contact your leads and to message recipients on WhatsApp
- Ensure you have the right to upload, store and process the data you put into the Service
- Comply with all applicable laws, including data-protection, anti-spam and telemarketing rules
- Not send unsolicited, deceptive, harassing or otherwise prohibited messages
4. WhatsApp & Meta platforms
The Service lets you connect your own WhatsApp Business Account through Meta and send messages using the WhatsApp Cloud API. When you use these features you must also comply with the WhatsApp Business Messaging Policy, the WhatsApp Business Terms and the Meta Platform Terms. You are solely responsible for your message content, templates and recipient consent. PropX is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.; “WhatsApp” is a trademark of Meta. Meta may change, limit or suspend its APIs at any time, which may affect the Service.
5. Acceptable use
You agree not to:
- Reverse engineer, resell or attempt to gain unauthorised access to the Service or other tenants' data
- Upload malware, or interfere with the integrity, performance or security of the Service
- Use the Service to send spam, or to violate any third party's rights
- Exceed documented rate limits or otherwise abuse the APIs and webhooks
6. Data ownership & processing
As between you and PropX, you own the lead, contact and message data you put into the Service. You grant PropX a limited licence to host, process and transmit that data solely to provide the Service. PropX processes End-User data as your processor in accordance with our Privacy Policy. You are the controller of that data and are responsible for its lawfulness.
7. Fees
Fees, billing cycles and any usage limits are as agreed in your subscription plan or order. Unless stated otherwise, fees are exclusive of applicable taxes. WhatsApp conversation charges levied by Meta are billed through your own Meta/WhatsApp account.
8. Intellectual property
PropX and its licensors retain all rights in the Service, including its software, design and trademarks. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription; no other rights are granted by implication.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that messages will always be delivered, as delivery depends on Meta and mobile networks.
10. Limitation of liability
To the maximum extent permitted by law, PropX will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to PropX in the twelve months preceding the event giving rise to the claim.
11. Indemnity
You will indemnify and hold PropX harmless from claims, damages and expenses arising out of your data, your messaging activity, your use of the Service, or your breach of these Terms or of any Meta or WhatsApp policy.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk. On termination, your right to use the Service ends and your data is handled as described in our Data Deletion page.
13. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at [City], India will have exclusive jurisdiction over any dispute, subject to any applicable arbitration agreement between the parties.
